InvoicePaw Terms of Service
Effective date: October 20, 2026
1. Who we are and who these terms cover
InvoicePaw is operated by RandomWalkr Technologies Inc., a business based in Ontario, Canada ("InvoicePaw," "we," "us"). Our mailing address is 18 King Street East, Suite 1400, Toronto, ON M5C 1C4, Canada. Contact us at hello@invoicepaw.com.
These terms govern our website, business setup by text, invoice creation and delivery, invoice and draft-preview pages, prepaid invoice sends, and related support (the "Service"). They are an agreement between us and the merchant using the Service ("you"). If you act for a business, you confirm that you have authority to bind it. You must be of legal age to enter a binding contract where you live and use the Service for lawful business purposes in the United States or Canada.
You accept these terms when you take the acceptance action identified in our signup or onboarding notice after being given access to them. If you do not agree, do not complete signup or use the merchant Service. Our Acceptable Use Policy forms part of these terms. Our Privacy Policy describes our information practices; acknowledging it does not replace any separate consent required by law.
A person receiving an invoice from one of our merchants does not become a merchant account holder or agree to pay InvoicePaw merely by viewing it. The merchant's contract with that person governs the underlying work, goods, payment obligations and disputes.
2. What the Service does—and does not do
InvoicePaw helps you create invoice drafts by text, review them and authorize email delivery to customers. Customers can view, print and download issued invoices. Draft previews are not issued invoices and do not offer a PDF download; displayed information can still be copied.
We provide invoicing software, not accounting, tax, legal, debt-collection or payment-collection services. We do not receive, hold or distribute your customers' invoice payments. We use third-party payment processors for purchases of InvoicePaw invoice sends, not to collect the amounts your customers owe you. Payment instructions or outside payment links on an invoice are supplied by you, not an endorsement or guarantee by InvoicePaw.
We are not a party to your customer transaction. We do not guarantee that an invoice will be accepted, paid, legally sufficient for your particular transaction, or suitable evidence for every tax or accounting purpose.
3. Your account and instructions
Your mobile number identifies your merchant account. Use a number you control and keep your business and contact information accurate. Anyone with access to your phone, messages or forwarded links may be able to access information or issue instructions. Notify us promptly if your number is lost, reassigned or compromised, or an instruction was unauthorized. We may require reasonable identity checks before changing access or releasing account information.
Do not send payment-card numbers, security codes, banking passwords, government-issued personal identifiers or other unnecessary sensitive information by text. Business tax-registration details and payment instructions should contain only information appropriate for the invoice and its intended recipient.
We may apply reasonable usage and security limits. Such limits do not authorize us to impose undisclosed overage fees or buy additional sends for you.
4. AI assistance, review and authorization
We use AI to interpret instructions and prepare business profiles and invoice drafts. AI can misunderstand, omit or invent details. You are responsible for reviewing the actual business details and invoice preview, including customer identity and email, descriptions, quantities, prices, discounts, dates, currency, taxes and payment instructions.
A draft, preview, clarification reply or request for a purchase link does not itself authorize an invoice to be sent. To issue an invoice, follow the confirmation instructions for that draft and reply YES. Once confirmed, processing may begin immediately, and a cancellation or edit may no longer prevent delivery.
Keep invoice confirmation separate from authorization to buy more sends or save a card. Confirming the interpretation of a request does not itself authorize a new invoice send or a saved-card payment.
After an invoice is issued, changes may require a revision or replacement rather than alteration of the issued record. Keep appropriate records of corrections, voids and payments.
5. Taxes and business records
You are responsible for determining whether you must register for, charge, disclose and remit any tax, and for the accuracy of your registration numbers and invoices. A regional rate suggestion is a starting point for your review, not a determination of the correct tax for a particular supply or customer. Confirm only a rate that applies to your business. We do not verify exemptions, place-of-supply rules, registration status or every state, local, provincial or product-specific requirement.
Keep your own legally required records and downloaded copies of issued invoices. InvoicePaw is not a substitute for your accounting records or independent backups. Access to invoice pages is subject to the Service's availability, account-security measures and the retention practices described in our Privacy Policy; it is not a promise of permanent hosting.
6. Free allowance and paid invoice sends
The standard offer is three free invoice sends per merchant account per calendar month, followed by $0.99 per paid send in the applicable account currency. Monthly periods use the America/Toronto time zone, including daylight-saving changes. Unused free sends do not carry forward. You may not create additional accounts to evade allowance or anti-abuse limits.
Paid sends are purchased in whole quantities, with a minimum of five ($4.95 at the standard rate). Checkout shows the applicable currency and total. USD and CAD credit are separate and are not automatically converted when business information changes.
Paid sends never expire merely because time passes. Unused paid credit carries forward. This is not a subscription, and we do not purchase credit automatically because your balance is low. Paid credit is for InvoicePaw services; it is not a bank deposit, investment or general-purpose payment account. Except for refunds or other rights described here or required by law, credit is not redeemable for cash or transferable to another person.
We will give advance notice of changes to standard pricing or the free allowance. A prospective price change will not reduce the number of standard sends already purchased with existing paid credit. A new optional feature or paid service requires its own disclosed price and authorization.
7. When sends use an allowance or credit
An authorized send reserves one free send, if available, or deducts the disclosed charge from your prepaid credit. Creating or editing a draft, viewing a preview, and viewing, printing or downloading an issued invoice do not consume an additional send.
Automatic delivery retries do not add another invoice charge. A requested resend of the same invoice remains covered unless the earlier send's allowance or credit was returned; a resend after that return uses a new available free send or paid charge. A separately issued replacement or revised invoice is a new send.
If our delivery checks establish that a send definitively failed without an earlier successful delivery, we return the corresponding allowance or prepaid charge once. Restored free allowance belongs to its original monthly period. If delivery is uncertain, we may investigate before restoring it to avoid duplicating a send or charge. A customer not opening an email, disagreeing with an invoice, or not paying it does not by itself establish a failed delivery. Contact us if you believe an allowance or charge is incorrect.
8. Checkout, saved cards and authorization
One-time invoice-pack purchases are completed through our payment processor's checkout. Opening a link does not charge you. You can review available quantities and the total before paying. A return to a success page does not itself add credit: we credit a purchase after receiving verified payment confirmation. Some payment methods require additional processing time.
Saving a card is optional and uses our payment processor's secure card-setup process. Do not text us card details. If you enable purchases by text, we show the proposed quantity, total and saved-card information and require a separate YES before charging it. Saved-card permission is not permission for automatic low-balance purchases. You can request CARD REMOVE to disable future SMS card charges; removal does not reverse an already-authorized or processing payment.
We retain payment references and limited card information, such as brand and last four digits, rather than storing full card numbers or security codes through our payment integration. Our payment processor and your financial institution may impose their own terms or fees; any fee we impose must be disclosed before you authorize it.
9. Refunds, reversals and account closure
Returning a failed invoice-send charge to your InvoicePaw credit is different from refunding a pack purchase to its original payment method.
Invoice-pack purchases are generally non-refundable, including unused paid sends when you voluntarily close your account or change your mind after purchase. Exceptions apply where a refund is required by law or we permanently discontinue the Service as described below. This rule does not limit other remedies required by applicable law, or correction of duplicate or unauthorized charges for which we are responsible.
If we permanently discontinue the Service or close your account for our convenience and cannot provide the remaining purchased sends, we will arrange a refund of the unused paid portion to the original payment method where practicable, subject to verification and applicable law. Promotional and free allowances have no cash refund value. If an account is restricted for suspected misuse, we may investigate the affected transactions before resolving any remaining credit; suspension does not automatically forfeit lawfully purchased credit.
A refund, dispute or payment reversal may reduce or hold the related available credit. A negative balance caused by reversal of already-used credit may restrict further paid sends while the issue is resolved. We do not automatically charge your card to cover that balance. We will correct an adjustment if the corresponding funds are restored. Nothing here prevents you from exercising rights with your payment provider.
10. Text messages and service communications
By requesting onboarding messages or using our text service, you authorize automated communications necessary to carry out your requests and operate the account, subject to applicable consent requirements. Frequency depends on activity. Message and data rates may apply. We do not treat service-message permission as blanket permission for unrelated promotional messages.
Reply STOP or UNSUBSCRIBE to opt out and HELP for help. Other legally effective withdrawal requests will be handled as required by law. Text START if you wish to resume after opting out; a website request does not override an existing opt-out. You can also contact hello@invoicepaw.com about access or communications.
Because the merchant Service operates through SMS, opting out may prevent further text-based interactions. It does not by itself close the account, erase retained records, forfeit paid credit, cancel an already-authorized invoice or payment, or suppress a customer's already-authorized invoice email. Contact support for those requests. Carriers and providers may delay or block messages; a website acknowledgement is not proof of SMS delivery. Carriers are not liable for delayed or undelivered messages.
11. Customer information, confidentiality and service providers
You must have the necessary authority to provide customer and business information and instruct us to process it and deliver invoices. Provide accurate recipient information and comply with laws applicable to your transactions and communications. You may not use the Service to collect or send information unrelated to a legitimate invoicing purpose.
We process customer information supplied by you to provide the Service under your lawful instructions, protect the Service, and comply with legal requirements. We restrict access to personnel and providers who need it for those purposes and require appropriate confidentiality and data-protection commitments. We do not use your customer list for our own direct marketing. Our Privacy Policy explains how we and our service providers handle personal information, including account, billing, security and website information.
We will reasonably assist with applicable privacy requests and incident obligations concerning information processed for you. We may decline instructions that are unlawful or would compromise another person's rights. Applicable privacy law prevails over an inconsistent instruction.
12. Your content and our technology
You retain your rights in business information, invoice content and other material you provide ("Customer Content"). These terms do not assign to us ownership of your invoices or your customers' information. You authorize us and our service providers to process, format, store, reproduce and transmit Customer Content only as needed to provide, secure and support the Service and comply with law, as described in our Privacy Policy. This is not permission to publish your invoices as advertising or use your customer list for unrelated purposes.
You may use, retain, print, download and share your issued invoices for legitimate business purposes, and authorize recipients to do the same.
We and our licensors retain rights in the Service's software, branding, website and templates, excluding your Customer Content. We grant you a limited right to use that technology through the Service in accordance with these terms. You may not copy or resell the Service or misuse our branding. Restrictions do not override rights that applicable law does not allow us to restrict.
13. Availability, support and security
We use reasonable care to operate and protect the Service, but do not promise uninterrupted availability, instant delivery, error-free AI output or a particular recovery time. Maintenance, carrier filtering, internet failures and provider interruptions may affect service. We may change features, while honouring purchased-send rights and the notice and refund commitments in these terms.
Report account, billing, delivery and security problems to hello@invoicepaw.com. Do not include full card numbers, passwords or unnecessary sensitive information. We may need reasonable details to investigate. Customer questions about the work or payment owed should go to the merchant that issued the invoice.
14. Suspension and termination
You may stop using the Service and request account closure through support. Unsubscribing from SMS alone is not account closure. Closure is subject to reasonable identity checks, pending transactions and legal record-retention obligations.
We may restrict or suspend activity reasonably necessary to address suspected fraud, unlawful instructions, security risks, material breach, provider requirements or legal obligations. We may act immediately where advance notice would create risk or is prohibited; otherwise we will give appropriate notice and a reasonable opportunity to address a remediable breach. We will explain the restriction when lawful and reasonably practicable.
For termination for our convenience or a planned shutdown, we will normally give at least 30 days' notice and a reasonable opportunity to retrieve available invoices, unless law or an urgent security issue requires otherwise. Financial treatment is governed by section 9, and retained information by the Privacy Policy. Terms concerning accrued payments, records, privacy, intellectual property, liability and disputes survive as needed to give them effect. Survival does not expand our licence to use Customer Content.
15. Warranties and mandatory rights
Except for express commitments in these terms and rights that cannot lawfully be excluded, the Service is provided as available without a guarantee of fitness for your particular transaction, collection results or tax outcome. To the extent permitted by law, we exclude implied warranties and conditions not expressly provided here. This does not exclude legally required standards of care, mandatory consumer or privacy rights, or liability that cannot be excluded.
16. Limits of liability
To the extent permitted by law, neither party is liable to the other for indirect or consequential loss or lost profits arising from this agreement. This exclusion does not reclassify a direct loss merely by naming it and does not remove mandatory legal rights.
Each party's total aggregate liability to the other arising from the Service or these terms is limited to the greater of CAD $100 and the InvoicePaw fees paid by the merchant during the 12 months preceding the first event giving rise to the claim. Fees paid in another currency are converted to Canadian dollars using the Bank of Canada's published daily exchange rate for the payment date, or its most recent preceding published rate if none is available for that date. The limit applies across related claims, whether in contract, tort or otherwise, to the extent lawful.
These exclusions and the cap do not limit obligations to pay authorized fees, return unused paid credit or correct payment errors under these terms; liability for fraud or wilful misconduct; or liability and remedies that applicable law does not permit to be excluded or limited. They do not restrict an individual's statutory complaint or regulatory rights.
17. Changes to these terms
We will post the updated terms and effective date. For material changes affecting an existing account, we will provide at least 30 days' advance notice through available contact details and obtain further acceptance where required. Changes needed urgently for law or security may take effect sooner with notice as reasonably practicable. New purposes or permissions involving personal information require the notice or consent required by privacy law, not merely an amended contract.
Changes do not retroactively authorize a payment, change a confirmed invoice or remove accrued rights. If you do not agree, stop using the affected Service and contact support about closure, records and remaining paid credit.
18. Governing law and disputes
These terms are governed by the laws of Ontario and the federal laws of Canada applicable there. Subject to mandatory law and any court with jurisdiction that cannot lawfully be excluded, the courts in Toronto, Ontario will have jurisdiction over disputes. Please contact hello@invoicepaw.com first so we can try to resolve a concern; doing so is not a condition to urgent relief or a statutory complaint.
Nothing in these terms excludes rights or protections that applicable law does not allow to be excluded.
19. Other terms
The terms presented and accepted, the Acceptable Use Policy and any expressly agreed order-specific terms form the merchant service agreement. An order-specific agreement controls its subject matter; otherwise these terms control an inconsistent AUP provision. The Privacy Policy governs our descriptions and commitments about personal information, subject always to applicable law.
Neither party is responsible for delay caused by circumstances reasonably beyond its control, except that authorized payment, applicable privacy/security obligations and unused-credit refund rights are not excused simply by invoking this clause. The affected party must take reasonable steps to reduce disruption.
Neither party may transfer this agreement in a way that materially reduces the other's rights. We may transfer it with a merger or business sale if the successor assumes our obligations, with notice and privacy safeguards required by law. You may not transfer account access or credits without our agreement, apart from rights required by law.
If a provision is unenforceable, the remaining provisions continue to the extent they can operate fairly and lawfully. Failure to enforce a provision is not a permanent waiver. These terms do not create a partnership or agency relationship beyond the limited authority to process instructions and deliver invoices on your behalf. Formal notices may be sent to the contact details above or the merchant's verified contact details, subject to applicable consent and delivery requirements.
